Background on the Cooper Securities Class Litigation

The actions are brought against Cooper and certain of its executives for violations of the Securities Exchange Act of 1934. Cooper, based in Pleasanton, California, manufacturers and markets contact lenses for astigmatism, presbyopia, ocular dryness, and other visual defects. The Company also manufactures and markets medical devices, diagnostic products, surgical instruments and accessories used primarily by gynecologists and obstetricians.

The complaints allege that during the Class Period, defendants misrepresented and omitted material information regarding Cooper's financial condition, operations, and business prospects. Specifically, defendants allegedly failed to disclose serious quality control problems and manufacturing process defects at Cooper's contact lens manufacturing facilities.

In August 2011, Cooper announced that its subsidiary, CooperVision, had initiated a voluntary recall of "limited lots" of its Avaira Toric line of contact lenses manufactured in Puerto Rico. Cooper claimed that a small number of consumers had complained of hazy vision which the Company determined was due to a silicone residue in the lenses.

In October 2011, the Food and Drug Administration issued a "Class I" warning and called upon Cooper to provide clear notice to the public of the reasons for the recall and the potential for serious injuries. The FDA had reportedly received complaints of "impaired vision," "excruciating pain," and emergency room visits by consumers.

On October 12, 2011, CooperVision announced that it was continuing the recall and that it recalled approximately 600,000 Avaira Toric contact lenses thus far. The Company also disclosed that it had received additional consumer complaints of severe eye pain.

On November 15, 2011, Cooper announced that it had expanded the recall to include certain lots of Avaira Sphere contact lenses manufactured in the United Kingdom also due to the presence of silicone residue. Cooper disclosed that it had reserved $23 million for costs relating to the recall. Following this news, the price of Cooper stock fell $8.31 per share, or 12.8 percent, to close at $56.64 on unusually high trading volume.
